1. Supplier and scope
DWTN UK LTD, company number 17495021, operates DWTN UK. Contact hello@dwtn.uk. The service is offered for business use. The accepted Subscription Agreement and Order Particulars, these Terms and Conditions, and the accepted Data Processing Terms govern a new commercial subscription. The order identifies the customer, selected plan, price, billing period and any agreed custom requirements. The Data Processing Terms govern processing of customer personal data on documented instructions. Existing separately agreed legacy services are not moved onto these terms by their publication.
2. Starting a service
For standard self-service plans, DWTN issues the published plan order automatically. An authorised customer representative must explicitly accept that order and its saved document versions, verify their email and complete Stripe Checkout. Access begins once the system verifies payment. Enterprise or separately negotiated arrangements require an agreed order. An enquiry or account creation alone does not create a paid contract. The order must identify the customer, plan, price, billing period and any custom requirements. No charge or ongoing commitment arises solely from viewing these pages.
3. Accounts and permitted use
The customer may allow its authorised users to access the functions included in its plan for its own business activities. It must keep credentials secure, allocate appropriate permissions and promptly remove access when no longer needed. Users must not share accounts to bypass limits, access another organisation’s records, exploit security weaknesses, introduce malware, overload the service or use it unlawfully.
Supported integrations must use authorised credentials and the scope agreed with the customer. The customer must have rights to upload information, logos and signatures, and permission or another lawful basis to provide personal information.
4. Records and regulatory responsibilities
The customer is responsible for the truth, completeness, classification, signatures, recipient details and lawful retention of its records. DWTN supports record preparation; it does not certify a transfer, replace legal advice or transfer the waste holder’s statutory duties to DWTN. Check a generated document before relying on it.
Completed WTNs are stored in DWTN’s production database. DWTN emails PDF copies from notifications@dwtn.uk to the recipient address configured by the customer organisation’s administrator in its administration portal. The organisation chooses and maintains that address. After receipt, the emailed PDF is an independent copy outside DWTN’s infrastructure. Sending an email does not confirm delivery to an inbox. The customer remains responsible for keeping records required by law.
Any DEFRA submission depends on the organisation’s eligibility, required permissions, valid credentials and complete receipt data. The customer is responsible for determining whether a report is required. A waste transfer note does not itself submit a report, and a submission is accepted only when DEFRA confirms it.
5. Plans and payment
The accepted Subscription Agreement and Order Particulars state the customer’s selected plan, allowances, monthly fee and subscription term. They also explain payment, renewal, cancellation and access status. Prices are in pounds sterling. DWTN UK LTD is not currently VAT registered and does not charge VAT. Any custom requirements must be expressly stated in the accepted order.
6. Support and availability
DWTN will provide the agreed service with reasonable care and skill. Maintenance, security work, internet problems or third-party failures can interrupt access. We will communicate material planned interruptions where practicable. No uptime percentage, round-the-clock support or response-time guarantee applies unless expressly agreed in the order.
Report issues to hello@dwtn.uk with relevant details but without passwords or client secrets. External websites and providers have their own terms. Any additional service or feature specific to the customer must be expressly stated in the accepted order.
7. Ownership and data
The customer retains its rights in its records and branding. It grants DWTN the limited rights needed to host, process, display and transmit that material to deliver the service and follow lawful instructions. DWTN retains its rights in the software, website and service materials. No customer-content licence for unrelated advertising is granted. Personal information is addressed in the privacy policy and data-processing terms.
8. Suspension and termination
Access may be restricted for non-payment, a material breach, unlawful use, security risk or a legal requirement. Where practicable, DWTN will explain the reason and allow a reasonable opportunity to resolve it; urgent protective action may be immediate. Restrictions should be proportionate. Either party may terminate for a material breach not remedied within 14 days after written notice, or immediately where the breach cannot be remedied or continuing the service would be unlawful.
Ordinary cancellation, end-of-term access, record return and deletion are governed by the subscription contract and data-processing terms. Suspension does not authorise arbitrary deletion of customer records.
9. Responsibility and liability
Neither party excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. Statutory data-subject rights are unaffected. Subject to those limits, neither party is responsible for indirect or consequential business losses. Each remains responsible for foreseeable direct losses caused by its own breach under applicable law.
Any negotiated financial liability cap must be stated in the accepted order. These public terms do not silently impose a numerical cap or transfer all risk to the customer. The customer must take reasonable steps to limit avoidable loss; DWTN remains responsible for its contractual processing and security obligations.
10. Changes and disputes
Material commercial changes require at least 30 days’ notice before a renewal to which they will apply, with the opportunity to cancel before they take effect. Changes do not retrospectively alter an accepted paid period. Urgent changes needed for law or security may take effect sooner with an explanation. Processing changes must also follow the data-processing terms.
Raise disputes first with hello@dwtn.uk so the parties can seek a practical resolution. The law of England and Wales governs new DWTN commercial agreements, and the courts of England and Wales have jurisdiction, unless the signed order lawfully agrees otherwise. If a provision is unenforceable, the remaining provisions continue. No person other than the contracting parties gains contractual enforcement rights, without limiting statutory rights.
